Wholesale Terms & Conditions – MyKids-USA®
These Wholesale Terms & Conditions apply to all retailers, resellers, boutiques, and commercial buyers. By placing a wholesale order, you agree to the following terms.
1. Eligibility Requirements
To receive wholesale pricing, you must provide:
- A valid business license
- A completed W-9 form
- Accurate business and contact information
MyKids-USA may approve or deny wholesale access at its sole discretion.
2. Order Minimums
Wholesale orders may require minimum quantities or minimum purchase values depending on product category or season. MyKids-USA reserves the right to adjust minimums at any time.
3. Pricing, Inventory and Errors
Wholesale pricing is confidential and may not be publicly shared.
MyKids-USA makes every effort to display accurate pricing and stock availability. However, we reserve the right to:
- Correct pricing errors
- Cancel or adjust orders due to incorrect pricing
- Update inventory statuses at any time
- Limit quantities on certain items
If an error occurs, we will notify you before processing the order whenever reasonably possible.
4. Payment Terms
Unless otherwise agreed in writing, all wholesale orders must be paid in full before shipment. Accepted payment methods may include:
- Credit or debit cards
- PayPal
- ACH transfers
- Shopify Payments
All payments are non-refundable once shipped.
Filing chargebacks for delivered merchandise is prohibited and may result in suspension or termination of wholesale privileges.
5. Shipping and Processing Times
USA Warehouse
Processing time: 1–2 business days
Delivery time: 1–7 business days
Estimated total: 2–9 days
International Warehouse
Processing time: about 4 business days
Delivery time: 8–17 business days
Estimated total: about 12–21 days
All shipping times are estimates and may vary depending on carriers, seasons and destinations.
6. Address Accuracy and Delivery Issues
Customers are responsible for providing accurate and complete shipping addresses. MyKids-USA is not responsible for:
- Delays caused by incorrect or incomplete addresses
- Lost shipments due to address errors
- Additional shipping costs or reshipment fees
7. Returns and Exchanges (Wholesale Orders)
Wholesale orders are considered final sale. Returns or exchanges are only accepted if:
- The product arrives defective
- The incorrect items were shipped
- There is a confirmed quality control error
Claims must be submitted within 7 days of delivery and must include clear photos or videos of the issue.
Return shipping is paid by the buyer unless the error is ours.
8. Product Inspection
Retailers must inspect all merchandise upon arrival. Any shortages, visible damages, or shipping errors must be reported within 72 hours of delivery. After this period, MyKids-USA may not be able to adjust or replace the order.
9. Branding, Marketing and Representation
Retailers may not:
- Misrepresent MyKids-USA products or their origin
- Alter safety labels, care labels or compliance information
- Use brand assets (logos, images, descriptions) in a misleading way
All products must be presented accurately on websites, social media and any sales channels.
10. MAP Pricing (Minimum Advertised Price)
MyKids-USA reserves the right to introduce Minimum Advertised Price (MAP) guidelines in the future to protect brand value and price consistency. If MAP is implemented, retailers will be notified and are expected to comply with the published guidelines.
11. Cancellations
Once an order has entered processing or has been prepared for shipment, cancellations are not accepted. Fees may apply to large volume, special production or custom/private-label orders that are canceled after production has begun.
12. International Orders
For international orders, the buyer is responsible for all duties, import taxes, customs fees and brokerage charges, unless otherwise stated in writing.
13. Private Label and Custom Orders
For private-label or custom orders, including custom neck labels, hang tags or branded packaging:
- Production begins only after full payment and artwork approval
- Private-label and custom orders are final sale and non-refundable
- Artwork changes after approval may cause delays and extra fees
14. Dropship Platform Policy (Syncee Only)
MyKids-USA® provides dropship access exclusively through Syncee. Wholesale buyers are not required to use Syncee. Retailers choosing to dropship must follow all Syncee requirements and MyKids-USA® dropship policies.
- Dropship access requires manual approval and may be suspended at our discretion.
- Retailers must maintain accurate product information and branding.
- Chargebacks, abuse, fraud, or repeated policy issues may result in immediate termination of access.
This section applies only to retailers using Syncee for dropship. It does not change wholesale purchasing terms.
15. Limitation of Liability
MyKids-USA is not responsible for lost profits, business interruptions, penalties or policy actions from marketplaces, or delays caused by carriers, customs or other external factors.
In all cases, the total liability of MyKids-USA, if any, is limited to the value of the wholesale order in question.
16. Policy Updates
MyKids-USA may update these Wholesale Terms and Conditions at any time. The most current version will always be published on this page. Placing new wholesale orders after changes are posted constitutes acceptance of the updated terms.
